Please read these Terms of Service carefully before using Labshock. Your access and use of our platform constitutes acceptance of these terms.

Introduction
Welcome to Labshock Security LLC ("Labshock", "we", "our" or "us"). By accessing or using our services, including our website and training modules, you agree to comply with these Terms of Service and our Privacy Policy. If you do not agree, please refrain from using our services.
Definitions
"Platform" means the Labshock software, documentation and related services. "Organization" means the legal entity identified in the applicable Commercial Documents. "Seat" means one authorized user. "Commercial Documents" means the documents that record a specific purchase — an Order Form, quotation, accepted proposal, purchase order, invoice, or other written agreement. "Partner Program" means a separately negotiated written agreement permitting activities beyond the standard licenses.
Services Provided
Labshock provides an OT/ICS cybersecurity platform for building, deploying and operating realistic industrial environments used for: - OT security validation - Detection engineering - Cyber ranges - Security testing - Product demonstrations - Hands-on learning and education The platform enables organizations and individuals to deploy controlled industrial environments for training, validation, research and proof-of-concept activities without affecting production systems.
Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use our services.
Accounts and Security
- You are responsible for maintaining the confidentiality of your account credentials - You are responsible for all activity under your account - You must notify us immediately of any unauthorized access or suspected breach
License Grant
Subject to these Terms and payment of applicable fees, Labshock grants you a: - Limited - Non-exclusive - Non-transferable - Non-sublicensable license to access and use the Labshock platform, in the scope of the license you hold. There are five licenses. Two are for individuals and three are for organizations: Individuals - Free License - Pro License Organizations - Enterprise License - Educational License - Government License Licenses are scoped by use rights, not by the size of the licensee. Which one applies depends on who you give access to and whether the use is commercial — a company, a university and a government body need different licenses even where they are the same size. The three organization licenses grant the same software and the same deployment model. They differ in permitted use and, for the Government License, in contract terms. The license is granted solely to the individual, legal entity or public body identified at purchase, and may not be transferred to another party without our written consent. For organization licenses, that party is named in the Commercial Documents. Reselling or redistributing Labshock, embedding it in another product, and use across more than one legal entity are not granted by any of the five licenses. They are covered by the Partner Program, under a separate written agreement negotiated case by case. Contact info@labshocksecurity.com.
Free License — Scope
Licensed to: One named individual. Permitted: - Use Labshock on your own hardware for personal learning and evaluation - Run the included labs and read the included guides Not permitted: - Use it for or on behalf of an employer, client or any organisation - Use it commercially, or as part of anything you are paid for - Share account credentials with anyone else
Pro License — Scope
Licensed to: One named individual. Permitted: - Use the full platform on your own hardware, for your own skills - Study, practise and certify yourself, including for your career Not permitted: - Deploy Labshock within an organization - Provide access to colleagues, customers or third parties - Deliver training or consulting services using the platform - Use the platform as part of a commercial service offering - Share account credentials
Enterprise License — Scope
Licensed to: One legal entity, named in the agreement. Permitted: - Give access to the licensee’s own employees and authorised contractors - Deploy on the licensee’s own hardware, on premise - Run internal training, exercises and onboarding - Run proof-of-concept engagements - Run product demonstrations and client evaluations - Deliver training programmes to your own customers - Validate the licensee’s own detections, segmentation and changes Not permitted: - Resell, sublicense or redistribute Labshock - Extend access to another legal entity — multi-entity use runs under the Partner Program - Act as a reseller or distributor — that runs under the Partner Program Enterprise licenses may be used for commercial activities carried out by the licensed legal entity, including internal training, customer demonstrations, proof-of-concept engagements and paid customer training.
Educational License — Scope
Licensed to: One accredited educational institution. Permitted: - Grant access to enrolled students for coursework, assessment and supervised study - Use it in teaching by faculty, instructors and teaching assistants - Use it for academic research and student projects - Build your own environments and course material on the platform - Train the institution’s own staff Not permitted: - Use it commercially, in any form - Deliver paid courses to customers who are not enrolled students - Use it in consulting, client-facing or revenue-generating work - Resell, sublicense or redistribute Labshock
Government License — Scope
Licensed to: One public body, agency or military organisation, named in the agreement. Permitted: - Give access to the body’s personnel and to contractors working for it - Run internal training, exercises and capability development - Validate the body’s own infrastructure and detections - Deploy fully air-gapped, with no outbound connection - Procure under a purchase order, on a fixed term with no auto-renewal Not permitted: - Use it in commercial or client-facing delivery - Extend access to another body or entity not named in the agreement - Resell, sublicense or redistribute Labshock
Partner Program — Scope
Licensed to: Agreed case by case, under a separate written agreement. Permitted: - Resell or distribute Labshock, where the agreement says so - Embed Labshock inside your own product or service offering - Operate environments across more than one legal entity - Deliver Labshock-based programmes to your own customers at scale Not permitted: - Anything not written into the signed agreement - Present Labshock as your own software
Commercial Documents
Organization licenses (Enterprise, Educational and Government) are documented by one or more commercial documents, such as an Order Form, quotation, accepted proposal, purchase order, invoice, or other written agreement (the "Commercial Documents"). The Commercial Documents identify: - The licensed legal entity, institution or public body - Which license applies - The number of seats - The license term, with a start and an end date - The deployment model - Any negotiated terms - The version of these Terms that governs the term Where these Terms conflict with the Commercial Documents, the Commercial Documents govern for that customer. Licenses do not renew automatically. A license ends at the end of its term unless a new purchase is documented.
Seat Definition
A seat permits one authorized user to access Labshock. Seats may be reassigned within the licensed organization, provided they are not shared simultaneously between multiple users.
Training, Courses, and Educational Use
Teaching and training use is licensed by who receives the training: - Teaching enrolled students at an accredited institution is covered by the Educational License - Training a licensee's own employees and contractors is covered by the Enterprise License, the Government License, or the Educational License - Instructor-led delivery, workshops and proof-of-concept sessions run by a company for its own clients are covered by the Enterprise License - Reselling training programmes, or delivering them across more than one legal entity, runs under the Partner Program Recording or distribution of training materials derived from Labshock is permitted only when no sensitive, customer-specific, or identifiable environments are included, unless otherwise agreed in writing.
License Restrictions
You agree not to: - Resell, sublicense, or redistribute Labshock or any part of it - Share access outside your licensed organization - Reverse engineer, decompile, or attempt to extract source code (unless legally permitted) - Use the platform to build a competing product - Use the service in violation of applicable laws or regulations - Circumvent access controls or licensing mechanisms - Distribute, publish, or commercialize recordings or derived content from Labshock environments in a way that exposes sensitive, customer-specific, or identifiable configurations without authorization
License Verification
Upon reasonable request, organization customers shall provide sufficient information to demonstrate compliance with licensed seat counts and license scope. Labshock will not request access to customer systems or confidential operational data as part of such verification.
Payment and Billing
- Fees for services are clearly displayed prior to purchase - Payment is processed via authorized third-party payment providers - By placing an order, you agree to pay all applicable fees - For organization licenses, payment may be governed by a Purchase Order (PO) and invoice process
Purchase Orders and Contract Formation
Where applicable: - A Purchase Order constitutes an offer to purchase our services - Acceptance occurs upon confirmation or issuance of an invoice by Labshock - All purchases are subject to these Terms of Service - Reference to these Terms may be included in invoices, quotations, or purchase confirmations
Refund Policy
Free and Pro purchases may be refunded within 30 days of purchase where required by applicable law or approved by Labshock. Organization licenses are generally non-refundable unless otherwise agreed in writing.
Support
Support levels depend on the license purchased. Free and Pro licenses receive community or standard support. Organization licenses receive the support level defined in the applicable Commercial Documents.
Software Updates
Labshock may provide updates, bug fixes, improvements and new functionality during the license term. Organization deployments may choose when updates are applied.
Intellectual Property
All content, including but not limited to: - Software - Documentation - Training materials - Platform design and features are the intellectual property of Labshock Security LLC and are protected by applicable copyright and trademark laws. No rights are granted except as explicitly stated in these Terms.
Confidential Information
Each party shall protect confidential information received from the other party and shall not disclose it except as required to perform this agreement or where required by law.
Authorized Use and Controlled Environments
Labshock is intended solely for cybersecurity education, testing, validation, research, and demonstration in controlled environments. Customer is solely responsible for ensuring that all activities performed using Labshock are authorized and comply with applicable laws, regulations, contractual obligations, and internal policies. The Customer shall not use Labshock or any component of it, including security testing tools, against systems, networks, devices, or industrial processes without the express authorization of the owner of those systems. Components intended for security testing, including Pentest Fury and similar tools, are provided solely for use within controlled laboratory, testing, demonstration, or otherwise authorized environments. Labshock may be used in production or operational environments only where the customer has the necessary authorization, has assessed the associated risks, and complies with applicable operational procedures. Labshock does not authorize, encourage, or endorse the use of its software for unauthorized access, disruption of services, or any unlawful activity. Customer assumes all responsibility for how the software is used. Labshock is not responsible for any damage, interruption, data loss, legal claims, regulatory action, or other consequences arising from the customer's unauthorized, negligent, or unlawful use of the software.
Acceptable Use
You agree to use the platform only for lawful purposes, including: - Cybersecurity training - Testing and simulation in controlled environments - Authorized professional use Prohibited activities include: - Accessing or testing systems without authorization - Using Labshock against production systems without appropriate authorization and change control - Violating applicable laws, regulations, or contractual obligations - Using the platform to facilitate unlawful activity - Misuse of the platform for malicious purposes - Distribution of harmful or illegal content through the platform
Export Compliance
Customer agrees to comply with applicable export control, sanctions and trade laws when using the software.
Privacy and Data Processing
Your use of our services is also governed by our Privacy Policy: https://labshocksecurity.com/privacy We do not process personal data beyond what is necessary for: - Account management - Platform operation - Security and logging
Availability and Modifications
We may: - Modify, update, or discontinue parts of the service - Improve features or performance at any time - We do not guarantee uninterrupted availability.
Termination
We reserve the right to suspend or terminate access if: - You violate these Terms - You misuse the platform - Payment obligations are not met Upon termination: - Your license to use the platform will cease - You must stop using the service immediately
Survival
Sections relating to intellectual property, payment obligations, confidentiality, limitation of liability and governing law survive termination of these Terms.
Disclaimer of Warranties
The services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, including but not limited to: - Fitness for a particular purpose - Uninterrupted availability - Error-free operation
Limitation of Liability
To the maximum extent permitted by law, Labshock shall not be liable for indirect, incidental, special or consequential damages, including loss of profits, business interruption or loss of data. Except where liability cannot legally be excluded, Labshock's total liability shall not exceed the amount paid by the customer for the applicable license during the twelve months preceding the claim.
Force Majeure
Neither party shall be liable for delays or failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, internet outages, cloud provider failures, governmental actions or similar events.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of South Carolina, United States. Any disputes shall be subject to the exclusive jurisdiction of the courts located in South Carolina, United States.
Assignment
Customer may not assign or transfer its rights under these Terms without Labshock's prior written consent. Labshock may assign these Terms in connection with a merger, acquisition or sale of substantially all assets.
Entire Agreement
These Terms together with the applicable Commercial Documents constitute the entire agreement between the parties regarding the use of Labshock.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
Changes to Terms
We may update these Terms from time to time. Every update is published on this page with a new version number and a new effective date. For Free and Pro licenses: - Continued use of the service after an update constitutes acceptance of the updated Terms For organization licenses: - The version of these Terms identified in your Commercial Documents governs for the whole of that term - Where no version is identified, the version in force on the date of purchase governs for that term - We will not apply a later version to a term that is already running without your written agreement - Any change takes effect for you only on a new purchase
